Welcome to Valfre.com. These Terms of Service ("Terms") govern your access to and use of Valfre.com and any related websites, online stores, services, features, content, products, and transactions operated by Valfre LLC ("Valfré," "we," "us," or "our") (collectively, the "Services").

Please read these Terms carefully. By accessing or using the Services, creating an account, or purchasing products from us, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

1. ELIGIBILITY AND USE OF THE SERVICES

By using the Services, you represent that you are legally capable of entering into a binding agreement or that you are using the Services with the involvement and permission of a parent or legal guardian.

You may use the Services only for lawful purposes and in accordance with these Terms.

You may not use the Services in any way that could damage, disable, overburden, interfere with, or impair the Services or interfere with another person's use of the Services.

2. SHOPIFY

Our online store and certain ecommerce functionality are hosted or powered by Shopify.

Your use of certain Shopify-powered functionality may also be subject to terms and privacy practices maintained by Shopify.

Valfré remains the seller of products purchased directly from Valfre.com unless otherwise expressly stated.

3. ACCOUNTS

Certain portions of the Services may require you to create or use an account.

You agree to provide accurate, complete, and current information and to update that information when necessary.

You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.

You must promptly notify us if you believe your account has been accessed or used without authorization.

We reserve the right to suspend, restrict, or terminate accounts where we reasonably believe there has been fraud, misuse, violation of these Terms, unauthorized activity, or a threat to the security or integrity of the Services.

4. PRODUCTS AND AVAILABILITY

We make reasonable efforts to accurately display our products, including colors, dimensions, materials, descriptions, photographs, and other information.

Actual colors and appearance may vary depending on screens, lighting, manufacturing processes, materials, or other factors.

All products are subject to availability.

We reserve the right to discontinue products, limit quantities, modify products, or refuse or cancel orders as permitted by applicable law.

5. PRICING

Prices displayed on the Services are subject to change without notice.

We make reasonable efforts to provide accurate pricing and product information. If a product is listed at an incorrect price or contains a material error, we may cancel or correct the affected order before fulfillment where permitted by law.

Applicable taxes, shipping charges, duties, and other charges may be added at checkout or otherwise collected where required.

Promotional pricing, discount codes, and special offers may be subject to additional terms and may be modified or discontinued at any time unless prohibited by applicable law.

6. ORDERS AND ORDER ACCEPTANCE

Submitting an order does not necessarily constitute final acceptance of the order by Valfré.

We reserve the right, where permitted by law, to accept, reject, limit, or cancel an order for reasons including:

• product availability;
• suspected fraud or unauthorized activity;
• pricing or listing errors;
• payment problems;
• shipping restrictions;
• quantity limitations;
• suspected unauthorized resale; or
• other legitimate business reasons.

If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method, subject to applicable law.

7. PAYMENT

You agree to provide current, complete, and accurate payment and billing information.

By submitting payment information, you represent that you are authorized to use the payment method provided and authorize Valfré and its payment providers to charge the applicable amounts associated with your purchase.

Payment processing may be performed by Shopify Payments or other third-party payment processors.

Valfré generally does not receive or store complete payment card numbers when payment details are securely processed by our payment providers.

8. FRAUD AND CHARGEBACKS

We may review transactions for suspected fraud, abuse, unauthorized activity, or violations of these Terms.

You agree to contact us before initiating a chargeback when you believe there is a problem with an order so that we have a reasonable opportunity to investigate and resolve the issue.

Nothing in this section prevents you from exercising legitimate rights available through your payment provider or applicable law.

Fraudulent or intentionally abusive chargebacks may result in account restrictions, cancellation of pending orders, or refusal of future transactions.

9. SHIPPING

We offer free standard shipping on eligible orders of $100 USD or more shipped to the mainland United States (the contiguous 48 states and Washington, D.C.). The $100 minimum is based on the merchandise subtotal after discounts and before taxes and shipping charges.

This offer excludes Hawaii, Alaska, Puerto Rico, and other U.S. territories and outlying islands. Expedited shipping is not included. Shipping charges for orders below $100 and destinations excluded from this offer are calculated at checkout.

Shipping estimates are estimates and are not guaranteed delivery dates unless expressly stated otherwise.

Delivery times may be affected by carriers, customs authorities, weather, holidays, labor interruptions, address problems, and circumstances outside Valfré's reasonable control.

Customers are responsible for providing complete and accurate shipping information.

If an order is returned, delayed, misdelivered, or otherwise affected because of an incorrect or incomplete address supplied by the customer, additional shipping or handling charges may apply to the extent permitted by law.

Risk of loss and title will transfer as provided by applicable law.

Nothing in these Terms limits any non-waivable consumer rights concerning lost, damaged, or undelivered merchandise.

10. INTERNATIONAL ORDERS

International customers are responsible for reviewing applicable import requirements before ordering.

Unless otherwise expressly stated at checkout, the recipient may be responsible for customs duties, import taxes, brokerage charges, VAT, tariffs, or other governmental assessments imposed by the destination country.

Customs authorities may delay, inspect, or refuse shipments.

Valfré is not responsible for delays caused solely by customs authorities or other governmental agencies outside our reasonable control.

11. RETURNS AND REFUNDS

Returns, exchanges, and refunds are governed by the Valfré Shipping & Returns Policy in effect at the time of purchase.

The Shipping & Returns Policy is incorporated into these Terms by reference.

Nothing in that policy or these Terms limits rights that cannot legally be waived under applicable consumer-protection laws.

12. PREORDERS, LIMITED EDITIONS, AND SPECIAL RELEASES

Certain products may be offered as preorders, made-to-order products, limited editions, timed editions, collectibles, or special releases.

Estimated production and shipping dates for these items are estimates and may change due to manufacturing, transportation, supply-chain, or other circumstances.

Quantity limits may apply.

We may cancel orders placed in violation of published quantity limits or where we reasonably believe an automated purchasing system, reseller scheme, fraud, or other abusive practice has been used.

13. GIFT CARDS AND PROMOTIONAL CODES

Gift cards, discount codes, store credits, and promotional codes may be subject to additional terms.

Unless otherwise stated, promotional offers cannot be combined.

Promotional codes have no cash value and may not be sold, transferred, reproduced, or used in connection with fraudulent or unauthorized activity.

We may cancel or refuse promotional benefits obtained through abuse, manipulation, technical errors, or violation of applicable promotional terms.

14. WHOLESALE AND B2B CUSTOMERS

Participation in Valfré's wholesale or B2B program is subject to the separate Valfré Wholesale Terms & Conditions.

Wholesale purchases are not governed solely by the consumer provisions contained in these Terms.

If there is a conflict between these Terms and the Valfré Wholesale Terms & Conditions concerning a wholesale account, wholesale order, payment term, authorized resale channel, or other B2B transaction, the Wholesale Terms & Conditions will control with respect to that matter.

15. INTELLECTUAL PROPERTY

The Services and all content appearing through them, including artwork, illustrations, characters, designs, photographs, graphics, text, logos, trademarks, trade dress, product designs, videos, animations, audio, digital files, website design, software, and other materials (collectively, "Valfré Content") are owned by or licensed to Valfre LLC and are protected by applicable copyright, trademark, trade dress, and other intellectual-property laws.

Except for the limited personal-use rights expressly provided in these Terms, no right, title, or interest in Valfré Content is transferred to you.

You may not reproduce, distribute, display, publish, manufacture, modify, adapt, sell, license, create derivative works from, or otherwise commercially exploit Valfré Content without prior written authorization from Valfré or the applicable rights holder.

"VALFRÉ," associated logos, characters, artwork identifiers, product names, and other source-identifying marks are trademarks or intellectual property of Valfré or its licensors.

No license to use any trademark is granted except as expressly authorized in writing.

16. ARTIFICIAL INTELLIGENCE, SCRAPING, AND AUTOMATED USE

Except where prohibited by applicable law or expressly authorized by Valfré in writing, you may not use Valfré Content to:

• train, fine-tune, develop, test, evaluate, or improve artificial-intelligence or machine-learning models;
• create datasets for generative artificial intelligence;
• generate imitations, derivatives, adaptations, or synthetic versions of Valfré artwork, characters, products, or visual styles;
• scrape, crawl, harvest, download, or systematically extract Valfré Content through automated means;
• create NFTs, digital collectibles, virtual merchandise, or blockchain-based assets;
• manufacture or design merchandise based upon Valfré Content; or
• create commercial reproductions or derivative products.

Use of ordinary search-engine indexing technologies that comply with our technical controls and are used for legitimate search-engine indexing is not prohibited by this section.

17. USER CONTENT, REVIEWS, AND SUBMISSIONS

If you submit a review, photograph, comment, social-media content, feedback, or other material to Valfré ("User Content"), you retain ownership of rights you otherwise hold in that User Content.

You grant Valfré a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, adapt, publish, distribute, and communicate User Content for purposes related to operating, promoting, and improving Valfré and the Services, subject to applicable law.

You represent that you have all rights necessary to submit the User Content and grant this license.

You may not submit content that infringes intellectual-property, privacy, publicity, or other rights of another person or that is unlawful, fraudulent, defamatory, abusive, or malicious.

Unsolicited Ideas

Valfré does not solicit confidential creative concepts, artwork ideas, character concepts, product concepts, business proposals, or other unsolicited creative submissions.

If you voluntarily submit an unsolicited idea or concept to us without a separate written confidentiality agreement, you understand that we are not obligated to treat the idea as confidential, compensate you for it, or refrain from developing products or concepts that may be similar.

18. PROHIBITED USES

You may not use the Services to:

• engage in unlawful or fraudulent conduct;
• violate intellectual-property rights;
• transmit malicious code;
• attempt unauthorized access to systems or accounts;
• interfere with security features;
• collect personal information about others without authorization;
• impersonate Valfré or another person;
• use bots or automated tools to circumvent purchase limits;
• resell products where the applicable sale or promotion expressly prohibits commercial resale;
• misrepresent affiliation with Valfré; or
• engage in conduct reasonably intended to damage, disrupt, exploit, or abuse the Services.

19. THIRD-PARTY SERVICES AND LINKS

The Services may contain links to third-party websites, services, platforms, payment providers, shipping providers, social-media platforms, or applications.

Valfré does not control independent third parties and is not responsible for their content, privacy practices, security, availability, or conduct.

Your use of a third-party service may be governed by that third party's own terms and policies.

20. PRIVACY

Our collection, use, and disclosure of personal information are governed by the Valfré Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

21. SECURITY

You may not attempt to bypass, disable, probe, scan, interfere with, or compromise the security or authentication mechanisms of the Services.

If you discover a potential security vulnerability affecting Valfré, please notify us rather than exploiting or publicly disclosing the vulnerability in a way that creates additional risk.

22. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

VALFRÉ DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED BY VALFRÉ, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

THIS SECTION DOES NOT LIMIT WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED.

23. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALFRÉ AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALFRÉ'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PURCHASE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO VALFRÉ FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THE ABOVE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

24. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Valfré and its affiliates, owners, officers, employees, and agents from third-party claims, damages, liabilities, costs, or expenses arising from your unlawful use of the Services, infringement of third-party rights, fraud, or material violation of these Terms.

This provision does not require a consumer to indemnify Valfré for Valfré's own wrongful conduct.

25. SUSPENSION AND TERMINATION

We may suspend or terminate access to the Services where reasonably necessary because of fraud, security concerns, violation of these Terms, unlawful activity, misuse of Valfré intellectual property, or material abuse of the Services.

Sections that by their nature should survive termination will remain in effect, including intellectual-property, payment, liability, dispute, and indemnification provisions.

26. CHANGES TO THE SERVICES

We may modify, suspend, discontinue, move, or replace portions of the Services from time to time.

We do not guarantee that any particular feature or product will remain available indefinitely.

27. CHANGES TO THESE TERMS

We may update these Terms periodically.

The "Last Updated" date at the top identifies the most recent revision.

Changes will apply prospectively unless applicable law permits otherwise.

If a material change requires additional notice or consent under applicable law, we will provide such notice or obtain such consent.

28. ELECTRONIC COMMUNICATIONS

You consent to receive transactional communications electronically regarding purchases, accounts, security issues, legal notices, and other matters relating to the Services.

Marketing communications are governed separately by your communication preferences and applicable law.

Electronic agreements, notices, disclosures, and records may satisfy legal requirements that such communications be in writing to the extent permitted by law.

29. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to these Terms, the Services, or purchases from Valfré shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles.

To the fullest extent permitted by applicable law, any lawsuit, action, or proceeding arising out of or relating to these Terms, the Services, or your relationship with Valfré shall be brought exclusively in the state courts located in Sheridan County, Wyoming, or, where federal subject-matter jurisdiction exists, in the applicable federal court having jurisdiction over Sheridan County, Wyoming.

You and Valfré consent to the personal jurisdiction of those courts and waive objections to venue or inconvenient forum to the fullest extent permitted by law.

Notwithstanding the foregoing, Valfré may seek temporary, preliminary, injunctive, or equitable relief in any court of competent jurisdiction when reasonably necessary to protect intellectual property, confidential information, security, or proprietary rights.

Nothing in this section deprives a consumer of any mandatory right or remedy that cannot legally be waived under the laws applicable to that consumer.

30. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

31. NO WAIVER

Failure by Valfré to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

32. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Shipping & Returns Policy, and any other policies or terms expressly incorporated by reference, constitute the agreement governing your use of the Services.

Wholesale customers are additionally bound by the Valfré Wholesale Terms & Conditions.
